New Issue: Golub Capital refinances, extends Golub Capital Partners CLO 46(M)

Chicago, April 5 – GC Investment Management LLC refinanced for $399.53 million the collateralized loan obligation issued by Golub Capital Partners CLO 46(M)-R, according to a presale report.

The notes will mature on April 20, 2037.

The CLO consists of $209.5 million of class A-1-R senior secured floating-rate notes at SOFR plus 181 basis points, $18.5 million of class A-2-R 5.77% senior secured fixed-rate notes, $44 million of class B-R senior secured floating-rate notes at SOFR plus 230 bps, $32 million of class C-R senior secured deferrable floating-rate notes at SOFR plus 305 bps, $24 million of class D-R senior secured deferrable floating-rate notes at SOFR plus 495 bps and $71.53 million of subordinated notes.

GC Investment Management LLC will manage the collateral through the end of the reinvestment period on April 20, 2028.

Collateral for the notes consists of middle-market speculative-grade senior secured term loans.

The notes can be called starting April 17, 2026.

Wells Fargo Securities LLC was the placement agent.

Originally, the CLO had $156 million of class A-1-A senior secured floating-rate notes at Libor plus 180 bps, $50 million of 3.44% class A-1-B fixed-rate notes, $21 million of class A-2 senior secured floating-rate notes at Libor plus 205 bps and $21 million of class B senior secured floating-rate notes at Libor plus 265 bps.

Golub also initially had in the portfolio $20 million of class C-1 senior secured deferrable floating-rate notes at Libor plus 375 bps, $15 million of 5.44% class C-2 senior secured deferrable fixed-rate notes and $21 million of class C-1 senior secured deferrable floating-rate notes at Libor plus 270 bps.

The CLO also had $22 million of class D senior secured deferrable floating-rate notes at Libor plus 380 bps and $78.14 million of subordinated notes.

Golub Capital is a New York-based middle market lender.
