WebMD Health, HLTH to hold annual meetings Dec. 5

Charlotte, N.C., Oct. 2 - WebMD Health Corp. and HLTH Corp. will hold their 2008 annual meetings on Dec. 5 in New York, according to a form 8-K filed with the Securities and Exchange Commission.

The record date for both meetings is Oct. 24.

Definitive proxy materials for the meetings will be mailed to stockholders once WebMD and HLTH respond to comments from the staff of the SEC regarding filings and the companies' proposed merger.

Stockholders have until Oct. 13 to notify WebMD of nominations or other business they intend to present at the annual meeting, the filing said.

It was reported in February that HLTH would merge into WebMD. Under the companies' definitive merger agreement, each outstanding share of HLTH common stock will be converted into 0.1979 shares of WebMD common stock plus $6.89 in cash.

The merger will eliminate the controlling class of WebMD stock held by HLTH and WebMD's existing dual-class stock structure, a prior news release said.

HLTH, formerly Emdeon Corp., is a health-care business, technology and information services company based in Elmwood Park, N.J.

New York-based WebMD provides health information services through its online portals and publications.
