Morgan Stanley plans market-linked notes on Stoxx Select Dividend 30

Chicago, April 9 – Morgan Stanley Finance LLC plans to issue 0% market-linked notes due April 16, 2021 linked to the Euro Stoxx Select Dividend 30 index, according to a 424B2 filing with the Securities and Exchange Commission.

The payout at maturity will be par plus at least 160% of any index gain, with the exact participation to be set at pricing.

If the index falls, the payout will be par plus the return, with a minimum payout of $950 per $1,000 of notes.

The notes are guaranteed by Morgan Stanley.

Morgan Stanley & Co. LLC is the agent.

The notes will price on April 13 and settle on April 18.

The Cusip number is 61768CR66.
