Morgan Stanley plans 0% PLUS notes linked to MSCI EAFE

Chicago, Nov. 26 - Morgan Stanley plans to price 0% Performance Leveraged Upside Securities (PLUS) due Jan. 20, 2009 linked to the iShares MSCI EAFE index fund, according to an FWP filing with the Securities and Exchange Commission.

The payout at maturity will be par plus any gain on the fund times an upside leverage factor of 300%, capped at a payout of $11.50 to $11.90, or 115% to 119% of the principal amount. The exact cap will be set at pricing.

Investors will participate in any losses.

The notes are expected to price and settle in December.
