Microchip Technology lines up fixed-rate senior notes offering

Chicago, March 5 – Microchip Technology Inc. is offering fixed-rate senior notes, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by the issuer’s existing and future subsidiaries.

The notes will be callable with a make-whole premium until the par call option starts a number of months before the maturity date.

If there is a change of control, the notes will be putable at 101.

J.P. Morgan Securities LLC, BNP Paribas Securities Corp. and BofA Securities, Inc. are acting as joint bookrunners.

Computershare Trust Co., NA will be the trustee.

Wilson Sonsini Goodrich & Rosati will act as counsel for the issuer, and Simpson Thacher & Bartlett LLP is advising the underwriters.

Proceeds will be used to repay a portion of commercial paper.

The Chandler, Ariz.-based company develops and manufactures smart, connected and secured embedded control solutions.
