ConocoPhillips to issue notes due 2053 via four bookrunners

Los Angeles, May 9 – ConocoPhillips Co. plans to price an offering of notes due 2053, according to a 424B5 filing with the Securities and Exchange Commission.

The notes will be guaranteed by ConocoPhillips.

The notes will be callable at a make-whole price until six months prior to maturity, when they become callable at par.

TD Securities (USA) LLC, J.P. Morgan Securities LLC, SMBC Nikko Securities America, Inc. and Wells Fargo Securities, LLC are the joint bookrunners.

Bank of New York Mellon Trust Co., NA is the trustee.

King & Spalding LLP will act as counsel for the issuer. Cravath, Swaine & Moore LLP will advise the underwriters on legal matters.

Proceeds will be used to fund a concurrent tender offer to purchase outstanding senior debt securities for an aggregate purchase price of up to $750 million.

ConocoPhillips is a Houston-based energy company.
