Crown Castle to offer senior notes in two tranches via six bookrunners

Lexington, Ky., April 24 – Crown Castle Inc. intends to offer senior notes in two tranches, according to an 424B5 filed with the Securities and Exchange Commission.

The notes will feature make-whole call options until some months before maturity and after certain dates are callable at par.

The notes will be putable at 101 if there is a change of control.

Bank of New York Mellon Trust Co., NA is the trustee.

Barclays, BofA Securities, Inc., Credit Agricole Securities (USA) Inc., Morgan Stanley & Co. LLC, Scotia Capital (USA) Inc. and SG Americas Securities, LLC are the joint bookrunners.

Bank of New York Mellon Trust Co. will be the trustee.

Cravath, Swaine & Moore LLP is acting as counsel for Crown Castle. Skadden, Arps, Slate, Meagher & Flom LLP is advising the bookrunners.

Proceeds will be used to repay outstanding debt under the company’s revolver and, if any proceeds remain, to repay a portion of debt under the company’s commercial paper program.

Houston-based Crown Castle provides shared wireless infrastructure to wireless carriers.
