Oranje enters $1.13 billion credit agreement as KnowBe4 acquired

Columbus, Ohio, Feb. 6 – Oranje Holdco, Inc. entered on Feb. 1 into a credit agreement with Owl Rock Capital Corp. as administrative agent that provides for a $1 billion term loan and a $125 million revolver, according to an 8-K filing with the Securities and Exchange Commission.

The new credit agreement came in connection with the consummation of a merger agreement with KnowBe4, Inc. surviving as a wholly owned subsidiary of Oranje. At closing of the merger, KnowBe4 paid all outstanding fees and expenses and terminated all credit commitments outstanding dated March 12, 2021 with Bank of America, NA as administrative agent.

KnowBe4 is a Clearwater, Fla.-based provider of a security awareness training and simulated phishing platform.
