California Micro shareholder's nominees backed by proxy advisory firms

Charlotte, N.C., Sept. 4 - RiskMetrics Group/ISS, Proxy Governance, Inc. and Glass, Lewis & Co. support the election of Dialectic Capital Management, LLC's director nominees at California Micro Devices Corp.'s special meeting on Sept. 17, Dialectic announced on Friday.

Dialectic, the company's second-largest stockholder, said it has nominated Dialectic managing member John Fichthorn, J. Michael Gullard and Kenneth Potashner for election.

RiskMetrics recommended in favor of the election of all three nominees, citing Potashner's and Gullard's relevant industry backgrounds and experience. The proxy advisory firm also said Fichthorn's election would bring significant shareholder perspective, according to Dialectic.

Proxy Governance recommended in favor of the election of Fichthorn and Gullard, while Glass Lewis supports the election of Gullard.

California Micro Devices is a Milpitas, Calif.-based maker of application-specific protection devices and display electronics devices for the mobile handset, digital consumer electronics and personal computer markets.
