BMC Software completes offer for BladeLogic with 96.7% of shares tendered

Charlotte, N.C., April 18 - BMC Software, Inc. said its subsidiary, Bengal Acquisition Corp., completed the $28-per-share tender offer for all outstanding shares of common stock of BladeLogic, Inc. on Thursday.

Some 27,368,539 BladeLogic shares were validly tendered and withdrawn, representing 96.7% of the company's issued and outstanding shares, according to the depositary for the offer.

BMC Software will complete the acquisition through the merger of Bengal Acquisition with and into BladeLogic "as soon as practicable," a BMC Software news release stated.

Under the merger agreement, all remaining publicly held shares will be acquired for $28 each, according to BMC Software.

As previously reported, BMC Software agreed to acquire BladeLogic for $28 cash per share in a deal valued at approximately $800 million.

Houston-based BMC Software provides enterprise management solutions.

BladeLogic, based in Lexington, Mass., provides data center automation software.
