AEP Transmission to offer senior notes via five bookrunners

Lexington, Ky., March 9 – AEP Transmission Co., LLC plans to sell series O senior notes, according to a 424B5 filed with the Securities and Exchange Commission.

The notes feature a make-whole call option until some months before maturity and then a par call option during the final months.

BNY Mellon Capital Markets, LLC, Credit Suisse Securities (USA) LLC, Morgan Stanley & Co. LLC, Scotia Capital (USA) Inc. and Truist Securities, Inc. are the bookrunners.

The co-managers are CIBC World Markets Corp., Bancroft Capital LLC and Loop Capital Markets LLC.

Bank of New York Mellon Trust Co., NA is the trustee.

In-house counsel will advise the issuer. Hunton Andrews Kurth LLP is counsel to the underwriters.

Proceeds will be used for general corporate purposes relating to the company’s utility business which may include construction costs, repaying advances or replenishing working capital.

The electric utility subsidiary of American Electric Power Co. Inc. is based in Columbus, Ohio.
