Pamrapo Bancorp's special meeting on Tuesday delayed by court order

Charlotte, N.C., Dec. 18 - Pamrapo Bancorp, Inc.'s special meeting of stockholders scheduled for Tuesday will not be held, according to a company news release.

The Superior Court of New Jersey, Hudson County, Chancery Division ordered that the special meeting be held on Feb. 11 in connection with the lawsuit filed by William J. Campbell.

The company wants to convene the meeting on Tuesday for the sole purpose of adjourning it to Feb. 11 in order to preserve its Nov. 6 record date. Pamrapo said the Superior Court of New Jersey, Appellate Division granted the company's request to be heard on this matter.

In June, BCB Bancorp, Inc. and Pamrapo announced they agreed to a merger that would give Pamrapo shareholders one share of BCB for each share of Pamrapo held in an all-stock deal valued at approximately $46 million.

The merger of the two Bayonne, N.J., bank holding companies was expected to be completed by the end of the year.
