Aware extends Dutch auction tender offer, increases minimum price

Charlotte, N.C., April 3 - Aware, Inc. amended its Dutch auction tender offer, narrowing the price range to between $2.20 and $2.60 per share, and extended the deadline to 5 p.m. ET on April 17.

The amendment and extension are the result of comments and a request from the Securities and Exchange Commission, an Aware news release said.

Originally, Aware's minimum purchase price was $1.80 per share.

Aware said it will purchase up to 3.5 million shares.

The tender offer is not contingent upon any minimum number of shares being tendered, the company said.

According to Computershare Trust Co., NA, the depositary for the offer, a total of approximately 4.2 million shares were tendered as of Thursday, including approximately 800,000 shares that were tendered through notices of guaranteed delivery.

Georgeson Securities Corp. is the dealer manager, and Georgeson Inc. (800 262-0158) is the information agent.

Aware provides technology and software for the telecommunications and biometrics industries. The company is based in Bedford, Mass.
