Avalon Correctional's slate not elected to Providence Service board

By Lisa Kerner

Charlotte, N.C., June 15 - Providence Service Corp. said a preliminary vote count shows that the company's stockholders "overwhelmingly" re-elected Providence chairman and chief executive officer Fletcher Jay McCusker and Kristi L. Meints to the board of directors at the annual meeting held on Monday.

Nominees put forth by Avalon Correctional Services, Inc. and its founder and CEO, Donald E. Smith, received support from less than 2% of the shares held by non-affiliates of the Avalon group and voted in the election of directors, a Providence news release said.

As previously reported, the Avalon group nominated Michael C. Bradley Jr. and retired U.S. Navy captain Brian T. Costello for election to Providence's board.

"We appreciate the strong support of our stockholders and look forward to moving beyond the Avalon group's disruptive and distracting proxy contest and their self-interested agenda and returning our full attention to delivering on Providence's very significant potential and enhancing value for ALL Providence stockholders," McCusker said in a company news release.

IVS Associates, Inc., the independent inspector of elections, expects to issue a preliminary tabulation of the votes early next week, according to Providence.

Oklahoma City-based Avalon owns and operates private community correctional facilities and correctional programming.

Providence is a Tucson-based provider of home- and community-based social services to government-sponsored clients under programs such as welfare, juvenile justice, Medicaid and corrections.
