Simtek to consider options, interest by Cypress Semiconductor

Charlotte, N.C., Feb. 13 - Simtek Corp.'s board of directors will review strategic options, including a statement of intent from Cypress Semiconductor Corp., with the assistance of Pagemill Partners, LLC.

Pagemill previously represented Simtek in the acquisition of Zentrum Mikroelektronik Dresden AG in 2005, Simtek president and chief executive officer Harold A. Blomquist said in a company news release.

"We look forward to working with them to determine the best course of action for the company at this time," Blomquist added.

On Feb. 4, Cypress reported it had contacted Simtek for the purpose of exploring "a potential acquisition of the company or substantially all of its outstanding equity securities," according to a schedule 13D filing with the Securities and Exchange Commission.

Simtek is a fabless semiconductor company located in Colorado Springs, Colo.

Cypress is a San Jose, Calif.-based semiconductor manufacturer.
