Novatek successfully wraps consent solicitation for 4.422% notes

Chicago, Nov. 16 – Russia’s JSC Novatek announced the successful conclusion of the consent solicitation for the $1 billion outstanding 4.422% loan participation notes due 2022 issued by Novatek Finance DAC (Cusips: G66749AC9, 66989PAC4), according to a notice.

Noteholders were being asked to pass extraordinary resolutions in favor of a co-trustee appointment and retirement, a share trustee replacement and certain amendments.

At the meeting on Nov. 15, noteholders passed the extraordinary resolutions to appoint a new trustee, share trustee as well as a number of amendments to the transaction documents including the trust deed, the paying agency agreement and the loan agreement.
