The company sold 847,918 shares at $5.8968 each to Rohm and Haas Electronic Materials CMP Holdings, Inc.
The price per share was determined by the 25-day average closing price of the company's stock ended Aug. 21.
The deal was not brokered.
Located in Romeoville, Ill., NanoPhase develops nanocrystalline products used in sunscreens and abrasion-resistant materials.
