• Redeemable at par plus accrued dividends in 2017

• Proceeds will be used to accelerate the development of the company's oil and gas properties in Kansas and Colorado and for general corporate purposes, which may include the temporary repayment of borrowings under a revolving credit facility

• San Antonio-based independent oil and gas exploration and production company

NATIONAL GENERAL HOLDINGS CORP.:

• $100 million of series A noncumulative preferred stock

• Morgan Stanley & Co. LLC and UBS Securities LLC (bookrunners)

• Proceeds will be used for general corporate purposes, including future acquisitions and to fund current and future policy writings

• New York-based specialty personal lines insurance holding company
