CheckFree, Corillian waiting period extended to April 30

By Lisa Kerner

Charlotte, N.C., April 5 - CheckFree Corp. voluntarily withdrew and re-filed its pre-merger notification and report form under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 with the Federal Trade Commission and Department of Justice relating to the proposed acquisition of Corillian Corp.

The company said the March 30 withdrawal and re-filing will provide federal antitrust authorities with additional time to review CheckFree's proposed acquisition of the Portland, Ore.-based online banking and payment solutions company.

As a result, the waiting period will expire at 11:59 p.m. on April 30, according to an 8-K filing with the Securities and Exchange Commission.

CheckFree believes the acquisition, announced on Feb. 14, will close in the second quarter of 2007 following approval by Corillian's shareholders.

On April 2, CheckFree completed the acquisition of Dallas-based payment technology company Carreker Corp. for $8.05 per share, or a total of about $206 million.

CheckFree provides financial electronic commerce services and products and is located in Atlanta.
