St. Louis, Dec. 4 - Williams Partners LP will begin a brief roadshow on Tuesday for its $600 million offering of 10-year notes (Ba3/BB-), according to an informed source.

Pricing is expected later this week.

Citigroup, Lehman Brothers and Merrill Lynch & Co. are joint bookrunners for the Rule 144A and Regulation S note offering.

The notes will be non-callable.

Proceeds will be used to acquire the remaining 75% interest in Williams Four Corners LLC from the Williams Cos. and for general corporate purposes.

Tulsa, Okla.-based Williams, through its subsidiaries, primarily finds, produces, gathers, processes and transports natural gas. The company also manages a wholesale power business.
