NV5 amends and restates facility, changes to all revolving borrowings

Chicago, Aug. 17 – NV5 Global, Inc. amended and restated its credit agreement with Bank of America, NA as administrative agent on Friday, according to an 8-K filing with the Securities and Exchange Commission.

The amendment converts and increases the commitments into a $400 million revolver from what was previously a $150 million term commitment and a $215 million revolver.

The revolver is available through Aug. 13, 2026, the maturity date.

The commitment fee ranges from 15 basis points to 25 bps.

The Eurodollar rate varies between Libor plus 100 bps to 225 bps, based on the consolidated net leverage ratio.

The initial rate is Libor plus 100 bps.

At closing, $138.8 million was drawn to repay previous borrowings under the term loan and the revolver prior to the amendment.

There is an accordion feature that allows the company to request an additional $200 million.

Bank of America is also the swingline lender and letter of credit issuer.

BofA Securities, Inc., Wells Fargo Securities, LLC and PNC Capital Markets LLC are joint lead arrangers.

BofA Securities was the bookrunner.
