New Issue: JPMorgan sells $763,000 callable contingent interest notes on stocks

By Marisa Wong

Morgantown, W.Va., Jan. 2 – JPMorgan Chase Financial Co. LLC priced $763,000 of callable contingent interest notes due Dec. 29, 2020 linked to the least performing of the common stock of General Electric Co., the common stock of AT&T Inc. and the common units of Plains All American Pipeline, LP, according to a 424B2 filed with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

Each month, the notes will pay a contingent coupon at an annual rate of 11.85% if each stock closes at or above its coupon barrier, 65% of its initial price, on the review date for that month.

The notes may be called in whole but not in part at par plus the coupon on any interest payment date except the first through 11th and the final payment dates.

The payout at maturity will be par plus the final coupon, if any, unless any stock finishes below its trigger price, 50% of its initial price, in which case investors will lose 1% for every 1% decline of the least-performing stock from its initial price.

J.P. Morgan Securities LLC is the agent.
