CDW announces $500 million offering of five-year notes

Portland, Ore., April 16 – CDW Corp. intends to offer, subject to market and other customary conditions, $500 million of senior notes due 2025 (BB-), according to a press release and a 424B5 filing with the Securities and Exchange Commission.

J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC, Goldman Sachs & Co. LLC, Barclays, MUFG and BofA Securities, Inc. are joint bookrunners for the public offering.

Capital One Securities, Inc., RBC Capital Markets, LLC and U.S. Bancorp Investments, Inc. are the co-managers.

The issuing entities will be wholly owned subsidiaries CDW LLC and CDW Finance Corp.

The Lincolnshire, Ill.-based technology company plans to use the proceeds for general corporate purpose.
