RCS & RDS: $200 million senior unsecured notes due 2017 (B+); Citigroup; non-callable for four years; to repay bank debt, fund acquisitions, fund capital expenditures and general corporate purposes; Bucharest, Romania-based telecommunications company; Europe and U.S. roadshows during Feb. 8 week; pricing expected late Feb. 8 week.

SONGA OFFSHORE SE: $200 million senior notes due 2017; Citigroup; Rule 144A/Regulation S; to refinance debt and for general corporate purposes; drilling contractor, based in Limassol, Cyprus; roadshow started Jan. 27; pricing Feb. 8 week; talked at 10¼% area.

UNITED GULF BANK BSC (Baa3): Non-deal roadshow ahead of possible dollar-denominated global bond offering; Calyon Securities, Standard Chartered Bank; Regulation S; Bahrain-based company is 95% owned by Kuwait Projects Co. (Kipco); investor meetings in Middle East, Europe and Asia began Feb. 3.

VANGUARDA DO BRASIL SA: $200 million senior notes due 2015 (B3/B-/B-); Morgan Stanley; to refinance short-term debt and to reduce accounts payable; Rio de Janeiro, Brazil-based producer of soybeans and cotton; roadshow started Jan. 25 in Asia.

VNESHECONOMBANK (VEB): Eurobonds; Barclays, Citigroup, HSBC, Societe Generale, ING, Troika Dialog and VTB Capital; Moscow-based Bank for Development and Foreign Economic Affairs.

CITY OF BUENOS AIRES (B2/B-/B): Non-deal roadshow in Europe and United States for possible dollar-denominated bonds; Credit Suisse; started Jan. 29 in Europe, Feb. 1 in United States.

STAR ENERGY GEOTHERMAL (WAYANG WINDU) LTD.: Benchmark dollar-denominated notes due 2015 (B2); Barclays Capital, Standard Chartered Bank, Nomura; to refinance bank debt, fund an interest reserve account for the bond, with any excess proceeds to partially fund developmental cost related to the proposed Unit 3 expansion; Indonesian geothermal energy company; international roadshow started Jan. 27, includes Asia, Europe and United States; pricing subject to market conditions.
