(Nasdaq: BSFT): $100 million of seven-year convertible senior notes; pricing Tuesday after the market close; price talk 1.25%-1.75%, up 17.5%-22.5%; Rule 144A; $20 million greenshoe; via Goldman Sachs & Co. and Jefferies & Co.; non-callable for four years, then provisionally callable subject to a 140% price hurdle; dividend and takeover protection; proceeds for general corporate purposes, including potential acquisitions; Gaithersburg, Md.-based maker of software enabling fixed-line, mobile and cable service providers to deliver voice and multimedia services over IP-based networks.

JUNE 15

ATP OIL & GAS CORP. (Nasdaq: ATPG): $150 million of convertible perpetual preferred stock; liquidation preference of $100 per share; pricing ahead of the market open Wednesday; registered, off-the-shelf deal; expected at a discount to par of 90% to 91%; talked at a dividend of 8%, up 39%; convertible at $22.20 per share; non-callable until Oct. 1, 2014, then forced conversion at the issuer's option if shares rise above 150%; Credit Suisse Securities (USA) LLC is bookrunner; $22.5 million greenshoe; standard dividend and takeover protection; proceeds to be used to pay the cost of a capped call transaction, to fund capital expenditures and for general corporate purposes; Houston-based offshore oil and gas development and production company with operations in the Gulf of Mexico and the North Sea.
