ENERGY XXI (BERMUDA) LTD.: (Nasdaq: EXXI): $200 million of convertible perpetual preferreds; Thursday after the market close; talked to yield dividend of 5.625%-6.125%, up 17.5%-22.5%, registered; $30 million greenshoe; concurrent offering of 9.5 million shares of common stock, with a 1.425 million share greenshoe; via UBS, BNP Paribas and RBS; proceeds to purchase second-lien junior secured notes and repay revolver; non-callable for three years, then provisionally callable subject at 130% hurdle; Hamilton, Bermuda-based oil and natural gas exploration and production company.

GREEN PLAINS RENEWABLE ENERGY INC. (Nasdaq: GPRE): upsized $75 million of five-year convertible senior notes, up from $60 million; $15 million greenshoe, up from $10 million; Rule 144A; via Jefferies and Credit Suisse; 5.25%-5.75%, up 22.5%-27.5%; non-callable for three years, then callable subject to a 140% price hurdle; proceeds for general corporate purposes; Omaha-based ethanol producer.

ON THE HORIZON

GENERAL MOTORS CO.: (NYSE: GM): plans series B mandatory convertible junior preferred stock as part of its proposed initial public offering of common stock to be sold by certain stockholders; registered; details pending: Morgan Stanley and JPMorgan, Bank of America Merrill Lynch, Citigroup Global Markets Inc., Goldman Sachs & Co., Barclays Capital Inc., Credit Suisse, Deutsche Bank Securities Inc., RBC Capital Markets Corp. and UBS Investment Bank will be joint bookrunners for the offering; Detroit-based automaker.
