Corestate invites existing investors to subscribe for notes, shares

Chicago, June 16 – Corestate Capital Holding SA is inviting certain investors of its €200 million of 1.375% convertible bonds due 2022 (ISIN: DE000A19SPK4) and its €300 million 3½% notes due 2023 (ISIN: DE000A19YDA9) to subscribe to an offering of new super senior notes and new shares by June 30, according to a release.

The company is offering €37 million of the notes and new shares of the company.

The offering is being made on a pro rata basis. For each 14 notes, noteholders may purchase one new super senior note at €100,000 each. Additionally, the holders would have to pay €57.93 for the acquisition of 320,871 new shares. Subscribers must acquire the notes and the shares together.

The capital providers involved in the bridge financing of the company have backstopped the entire offer.

Proceeds will be used to repay the bridge financing.

The offer is open to Rule 144A and Regulation S investors.

The deadline for acceptance of the offers is July 10.

Issuance of the new super senior notes and new shares will take place immediately before the effectiveness of the amendments to the terms and conditions of the notes in accordance with the resolutions of the creditors’ meetings scheduled for June 21.
