Citigroup to price barrier digital plus notes on iShares MSCI EM

Morgantown, W.Va., June 5 – Citigroup Global Markets Holdings Inc. plans to price 0% barrier digital plus securities due June 11, 2020 linked to the iShares MSCI Emerging Markets exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

If the final share price is greater than or equal to the initial price, the payout at maturity will be par plus the greater of 14% and the fund gain, with the payout capped at par plus 24.5%.

If the final share price is less than the initial price but greater than or equal to the barrier price, 80% of the initial price, the payout will be par.

If the final share price is less than the barrier price, investors will receive a number of shares of the fund equal to $1,000 divided by the initial price or, at the issuer’s option, the cash value of those shares.

Citigroup Global Markets Inc. is the agent.

The notes will price on June 6.

The Cusip number is 17324XEP1.
