Citi plans three-year barrier notes tied to Energy Select Sector SPDR

Chicago, May 9 – Citigroup Global Markets Holdings Inc. plans to price 0% barrier securities due May 27, 2020 linked to the Energy Select Sector SPDR fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

If the fund finishes at or above the initial level, the payout at maturity will be par plus double the gain up to a maximum return of 50%.

If the fund falls by up to the 70% barrier level, the payout will be par.

Otherwise, the payout will be par plus the index return with full exposure to any losses.

Citigroup Global Markets Inc. is the underwriter.

The notes will price on May 19.

The Cusip number is 17324XBY5.
