Dominican Republic’s Aerodom tenders for 9¼% secured notes due 2019

Chicago, Jan. 5 – Aeropuertos Dominicanos Siglo XXI, SA, or Aerodom, began a cash tender offer on Wednesday for its 9¼% senior secured notes due 2019.

The total purchase price will be $1,050.31 for each $1,000 principal amount of notes tendered by 5 p.m. ET on Jan. 18, the early tender and consent date.

The total amount includes an early tender payment of $4.06 for each $1,000 principal amount.

Holders who tender their notes after the early deadline will receive the total amount less the early premium, or $1,046.25 per $1,000 of notes.

The tender offer will end at 5 p.m. ET on Feb. 1.

The company will also pay accrued interest to the payment date.

In connection with the tender, Aerodom is also soliciting consents to amend the note indenture to eliminate most of the restrictive covenants and certain events of default, according to a company announcement.
