Chicago, Jan. 19 - JPMorgan Chase & Co. plans to price 6.5% to 8.5% annualized airbag yield optimization notes due July 26, 2012 linked to Anadarko Petroleum Corp. shares, according to an FWP with the Securities and Exchange Commission.

Interest is payable monthly.

The payout at maturity will be par in cash unless Anadarko Petroleum shares finish below the conversion price - 85% of the initial price - in which case the payout will be a number of shares equal to $1,000 divided by the conversion price.

UBS Financial Services Inc. and J.P. Morgan Securities LLC are the underwriters.

The notes will price on Jan. 20 and settle on Jan. 25.
