Allied World files automatic shelf registration covering stock, debt

Knoxville, Tenn., Sept. 10 - Allied World Assurance Co. Holdings Ltd. and Allied World Assurance Co. Holdings AG jointly filed an automatic shelf registration in an S-3 ASR filing with the Securities and Exchange Commission.

The registration covers common shares, to be offered by Allied World Assurance Co. Holdings AG, debt securities, to be offered by Allied World Assurance Co. Holdings Ltd., guarantees of debt securities, warrants to purchase common shares, warrants to purchase debt securities and units.

The securities may be structured as convertibles.

Proceeds will be used for working capital, capital expenditures, acquisitions and other general corporate purposes.

Based in Hamilton, Bermuda, and Zug, Switzerland, Allied World Assurance Co. Holdings Ltd. and Allied World Assurance Co. Holdings AG are specialty insurance and reinsurance companies.
