Last Call cases to be dismissed when fees and professionals are paid

Pittsburgh, Nov. 8 – Last Call Guarantor, LLC’s Chapter 11 bankruptcy cases will be dismissed, according to an order filed Wednesday with the U.S. Bankruptcy Court for the District of Delaware.
A final fee hearing will be held on Dec. 28. The company must file a certification after the hearing that all U.S. Trustee quarterly fees and professionals have been paid in full.
The cases will be dismissed upon the filing of the certification, the order said.
As previously reported, the sale of substantially all of Last Call’s assets closed on Oct. 5, 2016.
On the closing date, the company said it entered into a transition services agreement and master interim management agreement to facilitate the transfer of the assets to the purchaser. Under these agreements, the purchaser managed Last Call’s businesses while the purchaser determined which leases and contracts it wanted to assume and awaited the transfer of liquor licenses.
“This process is now complete, and the debtors do not believe that they own any material assets,” the motion said.
In addition, Last Call said it believes that all known administrative expenses, other than professional fees, have either been paid in full or will be paid in full before the hearing on the dismissal motion through financing or other funding from the purchaser, including wind-down cash.
Last Call, the owner of Fox & Hound Restaurant, Bailey’s Sports Grille and Champps Kitchen, is a Dallas-based restaurant operator. The company filed bankruptcy on Aug. 10, 2016 under Chapter 11 case number 16-11844.
