Citigroup to price market-linked notes due 2022 tied to MSCI EAFE

Chicago, March 11 – Citigroup Global Markets Holdings Inc. plans to price 0% market-linked notes due April 1, 2022 linked to the iShares MSCI EAFE ETF, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Citigroup Inc.

If the fund return is positive, the payout at maturity will be par plus the share return, subject to a maximum return of between 23% and 25% of the principal amount.

Investors will receive par if the final share price is flat or declines.

Citigroup Global Markets Inc. is the underwriter.

The notes (Cusip: 17326YFK7) will price on March 29 and settle on April 3.
