Ingersoll-Rand files automatic shelf registration

Knoxville, Tenn., Aug. 12 - Ingersoll-Rand Co. Ltd. and its subsidiary Ingersoll-Rand Global Holding Co. Ltd. jointly filed an automatic shelf registration in an S-3-ASR filing with the Securities and Exchange Commission.

The registration for the parent company covers debt securities, guarantees of debt securities, class A common shares, preference shares, depositary shares, share purchase contracts, share purchase units and warrants.

The registration for the subsidiary covers debt securities and guarantees of debt securities.

The securities may be structured as convertibles.

Proceeds will be added to the companies' general funds and used for general corporate purposes.

Ingersoll-Rand is a diversified industrial firm based in Hamilton, Bermuda.
