Centrient readies launch of €515 million term loan B for Thursday

New York, April 17 – Centrient Holding BV is scheduled to hold a lender call at 5:15 a.m. ET on Thursday to launch a €515 million term loan B due October 2027, according to a market source.

Citigroup Global Markets Inc., Goldman Sachs and HSBC Securities are the joint physical bookrunners on the deal. Barclays, Jefferies LLC, Morgan Stanley Senior Funding Inc. and RBC Capital Markets are the joint bookrunners. HSBC is the administrative agent.

Price talk on the term loan is Euribor plus 525 basis points with a 0% floor and an original issue discount of 98.5, the source said.

The term loan has 101 soft call protection for one year and has a deferred fee of 100 bps due six months post-closing should no exit have occurred.

Expected term loan ratings are B3/B-.

Proceeds will be used to extend an existing term loan B from October 2025.

Consent forms are due at noon ET on April 24 and new money commitments are due at 8 a.m. ET on April 25, the source added.

Centrient is a Netherlands-based B2B pharmaceutical developer and manufacturer of intermediates, active pharmaceutical ingredients and finished dosage forms.
