Black Hills intends to issue senior notes via five bookrunners

Lexington, Ky., March 2 – Black Hills Corp. plans to price senior notes, according to a 424B5 filing with the Securities and Exchange Commission.

The notes feature a make-whole call option some months prior to maturity and then a par call.

A change of control will make the notes putable at 101.

BofA Securities, Inc., J.P. Morgan Securities LLC, Mizuho Securities USA LLC, RBC Capital Markets LLC and Scotia Capital (USA) Inc. are the bookrunners.

Computershare Trust Co., NA is the trustee.

The company will use in-house counsel and Faegre Drinker Biddle & Reath LLP to advise them. Davis Polk & Wardwell LLP will act as legal counsel for the bookrunners.

The Rapid City, S.D., utility company will use the proceeds to repay outstanding borrowings under its commercial paper program. Any remaining proceeds will be used for general corporate purposes.
