Beacon Roofing to price $1.3 billion eight-year notes on Wednesday

Portland, Ore., Oct. 10 – Beacon Roofing Supply Inc. and Beacon Supply Escrow Corp. scheduled a conference call with investors at 11 a.m. ET on Wednesday to launch a $1.3 billion offering of eight-year senior notes (B3/B+), according to a syndicate source.

The Rule 144A and Regulation S for life deal is set to price Wednesday afternoon.

Wells Fargo Securities LLC is the left bookrunner. Citigroup Global Markets Inc., BofA Merrill Lynch, J.P. Morgan Securities LLC and SunTrust Robinson Humphrey Inc. are the joint bookrunners.

The notes become callable after three years at par plus 50% of the coupon.

The Herndon, Va.-based distributor of residential and commercial roofing materials and complementary building products plans to use the proceeds to help fund its acquisition of East Rutherford, N.J.-based building products distributor Allied Building Products Corp. and refinance an existing debt.
